DO NOT ENTER IF YOU ARE NOT ELIGIBLE AND LOCATED WITHIN THE U.S. AT THE TIME OF ENTRY. VOID OUTSIDE OF THE ELIGIBLE STATES AND WHERE PROHIBITED.

Eligibility

This Journey Survey Sweepstakes (“Sweepstakes”) is open to all natural persons who are legal residents of the 50 United States and District of Columbia, who are at least 18 years old and the age of majority in their jurisdiction of residence at the time of entry. Sponsor (“defined below”) and its respective afﬁliates, subsidiaries, successors, assigns, agents, representatives, ofﬁcers, directors, shareholders, and employees, and any entity involved in the development, production, implementation, administration, judging or fulﬁllment of the Sweepstakes, including without limitation, the immediate family members of such individuals (defined as any spouse, domestic partner, parent, legal guardian, grandparent, sibling, child or legal ward, or grandchild, regardless of where they reside) and members of the same household (whether legally related or not) of any such person are, are not eligible to participate.

Void outside the USA, in Puerto Rico, the US Virgin Islands, and other United States territories and possessions. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations and is void where prohibited by law. Winning a prize is contingent upon fulfilling all requirements set forth herein.

Sponsorship

The Sweepstakes sponsor is Shipt, Inc. (“Sponsor”), located at 420 20th St. N #100, Birmingham, AL 35203. Sponsor will conduct the Sweepstakes substantially as described in these Ofﬁcial Rules. The information you provide will only be used as provided in Sponsor’s privacy policy. If you are selected as a winner, your information may also be included in a publicly available winner’s list. Any questions, comments, or complaints regarding this Sweepstakes shall be directed to Sponsor.

Entry Period

The entry period for this Sweepstakes shall be from July 21 - July 31, 2023, as further set forth and subject to the below (“Entry Period”). Mail-in entries must be postmarked during the Entry Period and received no later than two (2) business days following the conclusion of the applicable of the Entry Period by 5:00:00 pm CST of the applicable Entry Period. Sponsor’s computer is the official time keeping device for this Sweepstakes.

How to Enter

Survey Entry. During the Entry Period be invited by Sponsor or to participate in a survey associated with this Promotion, follow the link to the survey website, and complete the survey online. Once at the survey, you should complete the questions provided. Entrants must complete all required information. Once you have completed the survey, you will automatically be entered into the sweepstakes. If you receive a winning message, you are a potential winner of the prize indicated, subject to verification by the Promotion Administrator. Follow the on-screen instructions and complete all required information to claim your prize.

Entry via Mail-In. You may enter the Promotion by printing (in the following order) your valid Shipt account username, the email address you used to register for your Shipt account, your full name, street address, city, state, zip code, and telephone number, and survey answers, on a standard 4″ x 6″ postcard and mail it to: 420 20th St. N #100, Birmingham, AL 35203. (“Mail-in Entry”). Mail-in Entries must be postmarked within the Promotion Period and received within 7 days of the end of the Promotion Period. Only potential winners will be notified by email, telephone, regular mail or overnight mail. LIMIT ONE (1) MAIL-IN ENTRY PER PERSON / E-MAIL ADDRESS / CONTRIBUTE ACCOUNT / POSTCARD.

Limitations on Entries

LIMIT ONE ENTRY PER PERSON DURING ENTRY PERIOD. No third party entry or entry through any sweepstakes service is permitted. Any person who attempts or otherwise encourages the entry of multiple or false contact information under multiple identities or uses any device or artiﬁce to enter or encourage multiple or false entries, as determined by Sponsor, will be disqualiﬁed.

Use of robotic entry devices is strictly prohibited.

Grand Prize

Two (2) Grand Prize will be awarded. The Grand Prize consists of one (2) five-hundred dollar ($500) Visa Giftcard. Approximate Retail Value (“ARV”): five-hundred dollars ($500 USD). Limit of one (1) prize per account /person /email address for the entire Entry Period. If a prize cannot be awarded for any reason, Sponsor reserves the right to substitute the prize with another prize of equal or greater value. The prize is non-transferable, and no substitution or cash equivalent is permitted. The winner is responsible for federal, state, and local taxes, if applicable. The prize is awarded “as is” without any warranty or guarantee, either express or implied, by Sponsor or Administrator.

LIMIT ONE GRAND PRIZE.

Drawing

The winner will be selected in a random drawing from among all eligible entries collected during the Entry Period. Random drawing shall occur on or about Friday, August 4, 2023 at Sponsor’s principal place of business. The drawing will be conducted by Sponsor, whose decisions and interpretations on all matters relating to the Sweepstakes and these Ofﬁcial Rules are ﬁnal and binding in all respects. Sponsor reserves the right to disqualify any entrant or winner and may refuse to award a prize to a person who is not eligible or has violated a rule, gained unfair advantage in the Sweepstakes, or obtained winner status using fraudulent means. If there is a dispute about the identity of an entrant, the prize will be awarded to the natural person to whom the email address is assigned by the internet service provider responsible for the domain associated with the submitted email address received with the survey response, or the physical address associated with the mail in entry. If the winner is found to be ineligible or not in compliance with these Official Rules, the winner will be disqualiﬁed, and an alternate winner will be awarded the prize in a separate random drawing.

Winner will be notiﬁed via email on or around Monday, August 7, 2023. The inability of Sponsor to contact winner by telephone or receive an acknowledgement response on social media within seventy-two (72) hours after selection, may result in disqualiﬁcation of the winner and an alternate winner may be selected in a random drawing at Sponsor’s discretion.

Prize Delivery

The prize will be sent via email address or address used to enter the sweepstakes. Sponsor shall not be held responsible for any change of email address, or for any delays in awarding prizes for any reason outside of their control. Prizes will only be delivered to verified winners and to addresses within the 50 U.S./D.C. IN ORDER TO RECEIVE A PRIZE, WINNERS MUST PROPERLY SIGN AND SUBMIT ANY RELEASES, LICENSES, OR OTHER AGREEMENTS REQUIRED BY SPONSOR AND COMPLETELY AND ACCURATELY PROVIDE SUCH INFORMATION AS IS REASONABLY REQUESTED BY SPONSOR IN CONNECTION WITH THIS SWEEPSTAKES. FAILURE TO DO SO MAY, IN SPONSOR’S DISCRETION, RESULT IN DISQUALIFICATION AND SELECTION OF AN ANOTHER PRIZE WINNER.

Odds

The odds of winning will depend on the number of eligible Entries received, according to the eligibility requirements in the Sweepstakes.

Warning

ANY ATTEMPT BY ANY PERSON, WHETHER OR NOT AN ENTRANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPER WITH OR VANDALIZE ANY SPONSOR-OWNED WEBSITE OR MOBILE APPLICATION OR RELATED SOCIAL NETWORKING SITE, THE ENTRY PROCESS, OR OTHERWISE INTERFERE WITH OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES, MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.

General Terms

By entering this Sweepstakes, entrants promise to abide by the Ofﬁcial Rules and decisions of Sponsor, which will be ﬁnal and binding in all respects. Sponsor reserves the right, at its sole discretion, to refuse, disqualify or withdraw any entry at any time. All issues of interpretation to be decided by Sponsor. Sponsor will not be responsible for any injury, damage or loss of any kind arising out of your participation in the Sweepstakes.

Release

YOU AGREE TO RELEASE, DISCHARGE, AND HOLD HARMLESS SPONSOR AND EACH OF THEIR AFFILIATES, SUBSIDIARIES, EMPLOYEES, OFFICERS, DIRECTORS, AGENTS AND ASSIGNS (“RELEASED PARTIES”) FROM AND AGAINST ANY OR ALL CLAIMS, LOSSES, INJURIES, OR DAMAGES RESULTING FROM PARTICIPATION IN THE SWEEPSTAKES. FURTHER, AND WITHOUT LIMITING THE FOREGOING, RELEASED PARTIES HAVE NO LIABILITY, AND YOU AGREE TO RELEASE, DISCHARGE AND HOLD HARMLESS RELEASED PARTIES IN THE EVENT APPLICABLE LAW, TECHNICAL ERRORS, OR OTHER MATTERS PREVENT THIS SWEEPSTAKES FROM BEING RUN AS CONTEMPLATED BY THESE RULES. SPONSOR RESERVES THE RIGHT TO ALTER, SUSPEND, OR MODIFY THIS SWEEPSTAKES IN THE EVENT APPLICABLE LAW, TECHNICAL ERRORS, OR OTHER MATTERS PREVENT SPONSOR FROM RUNNING THIS SWEEPSTAKES AS CONTEMPLATED BY THESE RULES.

YOU FURTHER ACKNOWLEDGE THAT THIS SWEEPSTAKES IS IN NO WAY SPONSORED, ENDORSED, ADMINISTERED BY, OR ASSOCIATED WITH FACEBOOK, INC. AND/OR INSTAGRAM LLC.

Except where prohibited by law, by accepting prize, winner grants Sponsor a perpetual, worldwide, royalty-free license to use winner’s name, photograph, voice, and/or likeness without further authorization, compensation, or remuneration of any kind for advertising, promotion and other publicity purposes in any and all media now or hereafter known throughout the world.

BINDING ARBITRATION

Any controversy or claim arising out of or relating to this Sweepstakes shall be settled by binding arbitration in a location determined by the arbitrator as set forth herein (provided that such location is reasonably convenient for claimant), or at such other location as may be mutually agreed upon by the parties, in accordance with the procedural rules for commercial disputes set forth in the Comprehensive Arbitration Rules and Procedures of JAMS (“JAMS Rules and Procedures”) then prevailing, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The arbitrator shall be selected pursuant to the JAMS Rules and Procedures. The arbitrator shall apply Delaware law consistent with the Federal Arbitration Act and applicable statutes of limitations and shall honor claims of privilege recognized at law. In the event that the claimant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of the claimant’s filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive. If any part of this arbitration provision is deemed to be invalid, unenforceable or illegal (other than that claims will not be arbitrated on a class or representative basis), or otherwise conflicts with the rules and procedures established by JAMS, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, the portion that is deemed invalid, unenforceable or illegal is that claims will not be arbitrated on a class or representative basis, then the entirety of this arbitration provision shall be null and void, and neither claimant nor Sponsor shall be entitled to arbitrate their dispute. Upon filing a demand for arbitration, all parties to such arbitration shall have the right of discovery, which discovery shall be completed within sixty days after the demand for arbitration is made, unless further extended by mutual agreement of the parties. THE ARBITRATION OF DISPUTES PURSUANT TO THIS PARAGRAPH SHALL BE IN THE ENTRANT’S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED. DO NOT ENTER THIS SWEEPSTAKES IF YOU DO NOT AGREE TO HAVE ANY CLAIM OR CONTROVERSY ARBITRATED IN ACCORDANCE WITH THESE OFFICIAL RULES. BY PARTICIPATING IN THIS SWEEPSTAKES, EACH ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SWEEPSTAKES, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY THROUGH BINDING ARBITRATION AS SET FORTH ABOVE, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY), BUT IN NO EVENT WILL ATTORNEYS' FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, OTHER THAN ACTUAL OUT OF POCKET EXPENSES), AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) ENTRANT'S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO EVERY ENTRANT.

GOVERNING LAW & JURISDICTION

These Official Rules and the Sweepstakes are governed by US law and are subject to all applicable federal, state and local laws and regulations. All issues and questions concerning the construction, validity, interpretation and enforceability of the Sweepstakes Official Rules, or the rights and obligations of entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Delaware, U.S.A., without giving effect to the conflict of laws rules thereof, and any matters or proceedings which are not subject to arbitration as set forth in Section 10 of these Official Rules and/or for entering any judgment on an arbitration award, shall take place in Wilmington, Delaware.

Winner’s Name

The name of winner(s) is available only within (14) days after the close of the Sweepstakes.
